End User License Agreement (EULA)

1. Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("User") and Lucas Uriel Acosta ("Licensor"), the individual operating SoonPatch, regarding your use of the SoonPatch macOS application ("Software").

By installing or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

2. License Grant

Subject to your compliance with this Agreement and payment of applicable subscription fees, the Licensor grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on macOS devices that you own or control, solely for your personal or internal business purposes.

3. Restrictions

You may not:

  • Copy, modify, or distribute the Software
  • Reverse engineer, decompile, or disassemble the Software
  • Sublicense, sell, rent, or transfer your license to any third party
  • Use the Software to build a competing product or service
  • Remove or alter any proprietary notices or labels on the Software
  • Share your license key or account credentials with others

4. How the Software Works

SoonPatch runs locally on your device and uses your locally installed Claude CLI to process your requests. SoonPatch does not transmit your code, Slack links, repository contents, or any work product to our servers. All such processing occurs entirely on your device.

The Software does contact our servers for the following limited purposes:

  • License validation: To verify that your subscription is active
  • Anonymous usage analytics: To understand how features are used (e.g., steps triggered, session counts, workflow durations). This data is not linked to your identity and contains no content from your work.

5. Intellectual Property

The Software and all related materials are the exclusive property of Lucas Uriel Acosta. This Agreement does not transfer any ownership rights to you. All rights not expressly granted are reserved.

6. Subscription and Payment

Access to the Software requires an active paid subscription, managed through Lemon Squeezy. Your subscription is governed by the Terms of Service. This Agreement governs your use of the Software itself.

7. Termination

This license is effective until terminated. It terminates automatically if you:

  • Breach any term of this Agreement
  • Cancel your subscription
  • Fail to pay applicable fees

Upon termination, you must stop using and delete all copies of the Software.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. THE LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPATIBLE WITH ALL SYSTEMS OR WORKFLOWS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE LICENSOR'S TOTAL LIABILITY EXCEED THE AMOUNTS YOU PAID FOR THE SOFTWARE IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

10. Updates

The Licensor may release updates to the Software from time to time. Updates may add, modify, or remove features. Continued use of the Software after an update constitutes acceptance of any changes to this Agreement.

11. Governing Law

This Agreement is governed by the laws of the Republic of Argentina. Any disputes shall be subject to the jurisdiction of the courts of Argentina.
